Introduction

These Terms of Use (“Terms”) govern your access to and use of the website located at www.bbeindy.com (the “Site”), operated by Boiler Business Exchange of Indianapolis, Inc. (“BBE Indianapolis,” “we,” “us,” or “our”), an Indiana nonprofit organization affiliated with the Purdue Alumni Association and the John Purdue Club. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Who We Are

BBE Indianapolis is a nonprofit organization formed to raise the profile of Purdue University in the Indianapolis business community and to facilitate business-to-business relationships among Purdue alumni and affiliates. The Site provides information about our organization, membership, events, and related programs.

2. Eligibility and Accounts

Certain areas of the Site, such as the member directory or event registration tools, may require you to register or provide information. You agree to:

  • Provide accurate, current, and complete information when requested;
  • Maintain the confidentiality of any login credentials associated with your account;
  • Notify us promptly of any unauthorized use of your account; and

Membership in BBE Indianapolis is subject to separate membership terms, dues, and approval by the organization, which are not modified by these Terms.

We reserve the right to restrict, suspend, or terminate access to the Site, in whole or in part, for any user who violates these Terms.

4. Events and Registration

The Site may allow you to register for events hosted or sponsored by BBE Indianapolis, including dinners, forums, and networking functions. Where a paid registration or ticketing process is offered, payment processing is handled by a third-party payment provider, and your use of that provider’s services is subject to its own terms and privacy practices. Event details, pricing, and availability are subject to change without notice, and BBE Indianapolis reserves the right to cancel or reschedule events.

5. Member Directory and Business Listings

If BBE Indianapolis provides a member or business directory feature, any business or contact information you submit for inclusion is provided at your own discretion. You represent that you have the right to submit such information and that it is accurate. BBE Indianapolis may review, edit, or decline to publish any submitted listing at its discretion.

6. Intellectual Property

All content on the Site — including text, graphics, logos, the BBE Indianapolis name and marks, and the overall look and feel of the Site — is owned by or licensed to BBE Indianapolis and is protected by applicable copyright, trademark, and other intellectual property laws. Except as expressly permitted (such as normal browsing, printing, or sharing a link), you may not copy, reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written permission.

7. User-Submitted Content

If the Site allows you to submit content — such as event photos, testimonials, comments, or directory information — you grant BBE Indianapolis a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with operating and promoting the organization. BBE INDIANAPOLIS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BBE INDIANAPOLIS AND ITS OFFICERS, DIRECTORS, MEMBERS, AND VOLUNTEERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless BBE Indianapolis and its officers, directors, members, and volunteers from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Marion County, Indiana, and you consent to the jurisdiction of those courts.
